Web Design YYC. ("we", "us", "our") provides website development and SEO services ("Services"). By engaging in our services, you ("Client", "you", "your") agree to be bound by the following terms and conditions. Please read them carefully.
1. Services Provided
Web Design YYC. offers the following services:
- Website Design and Development
- Search Engine Optimization (SEO) and Optimization Services
- Ongoing website maintenance and support
- Content creation and digital marketing services
2. Client Obligations
- The client will provide necessary access, information, and content required for the completion of the website or SEO services.
- The client must ensure that all content provided (text, images, etc.) is owned by the client or the client has permission to use such content.
- The client is responsible for complying with applicable laws and regulations regarding the website and its content.
3. Payment Terms
- Fees and Payment: The fees for the services will be outlined in the proposal or contract. Payment is due as per the schedule outlined in the agreement, typically a deposit upfront, with the remaining balance due upon project completion.
- Late Payments: Any late payments may be subject to a late fee of [insert percentage] per month.
4. Project Timelines
- Estimated project timelines will be provided in the proposal. Delays in the project may occur if the client does not provide requested materials or feedback in a timely manner.
- While we will strive to meet deadlines, Web Design YYC is not responsible for delays caused by the client or external factors (e.g., hosting issues, third-party services).
5. Website Ownership
- Upon full payment, the client will own the rights to the website’s design, structure, and content.
- Web Design YYC retains ownership of proprietary code, frameworks, and tools used in the website’s development that are not customized for the client.
6. SEO Services
- SEO services include keyword research, on-page optimization, link building, content recommendations, and analytics tracking.
- SEO results depend on various external factors, including search engine algorithms, competitors, and market conditions. We cannot guarantee specific ranking positions or outcomes but will implement best practices and ethical SEO techniques.
- The client understands that SEO is an ongoing process and requires continuous optimization.
7. Confidentiality
- Both parties agree to maintain confidentiality regarding any sensitive or proprietary information shared during the project. This includes business plans, trade secrets, and client data.
8. Limitation of Liability
- Web Design YYC will make reasonable efforts to ensure that the website and SEO services are free from errors and security vulnerabilities. However, we are not liable for any damages, loss of data, or issues arising from website downtime, performance issues, or third-party services.
9. Termination
- Either party may terminate the agreement with written notice. Upon termination, the client will pay for all work completed up until the termination date.
- Web Design YYC reserves the right to suspend or terminate services if the client breaches any terms of the agreement or fails to make payment.
10. Intellectual Property
- All intellectual property rights to the website design, content, code, and related materials will belong to the client upon full payment, except for any pre-existing materials or third-party tools used in the development process.
- Web Design YYC retains the right to showcase the completed website in marketing materials or portfolios unless the client requests otherwise.
11. Indemnification
- The client agrees to indemnify and hold harmless Web Design YYC against any claims, damages, or losses arising from the use of the website or SEO services, including content violations or third-party disputes.
12. Governing Law
- These terms and conditions shall be governed by and construed in accordance with the laws of the jurisdiction where Web Design YYC is registered (Calgary, Alberta, Canada), and any disputes will be resolved in the appropriate courts within that jurisdiction.
13. Amendments
- Web Design YYC reserves the right to amend or update these terms and conditions at any time. Clients will be notified of any significant changes.
14. Force Majeure
- Web Design YYC is not liable for any failure or delay in performance due to circumstances beyond our control, including but not limited to natural disasters, acts of government, or internet disruptions.
15. Acceptance
- By engaging our services, the client agrees to abide by these Terms and Conditions.
